Terms of Service

1. Agreement
These terms govern your use of Tallyhook (the "Service"), operated at tallyhook.dev. By creating a workspace or using the Service, you agree to these terms. If you're using Tallyhook on behalf of an organization, you're agreeing on its behalf and confirming you have the authority to do so.
2. The service
Tallyhook is a per-client cost ledger for AI coding-agent usage (currently Claude Code and Codex). You install a small collector on each developer's machine; it uploads session metadata to your workspace, which Tallyhook uses to compute list-price cost equivalents, attribute them to clients, and produce invoices and exports. What is and isn't collected is described in the Privacy Policy.
Costs shown are list-price equivalents from each model vendor's public API pricing. On a flat subscription (Claude Max, Team, ChatGPT Pro, etc.) this is the value of what was used, not a bill you actually received — the product says so wherever a number appears, and you shouldn't represent Tallyhook's figures as an exact invoice from your AI vendor.
3. Accounts and workspaces
You sign in with GitHub. A workspace has one or more owners and any number of members. Owners can manage billing, workspace settings, pricing, membership, and can remove or promote other members; members can see all of a workspace's data and manage their own collector token. You're responsible for who you invite and for keeping your account credentials (i.e., your GitHub account) secure.
4. Trial, billing, and cancellation
New workspaces get a 14-day free trial with no card required. After the trial, an active paid plan (Team, $49/month flat, or Agency, $149/month flat for the first 20 developers plus $7/month for each developer beyond that) is required to use the ledger: the overview, client and session pages, invoices, exports and client report links. Without one, the collector keeps recording and nothing is deleted, so your history is complete when you subscribe. Team, install and billing settings stay available regardless of plan status.
Paid plans are billed monthly in advance via Stripe and renew automatically until cancelled. You can cancel or switch plans at any time from Settings; cancelling stops future billing but does not refund the current billing period, and switching plans reprices your subscription immediately with a prorated adjustment on your next invoice. We don't store your payment card details — Stripe does.
5. Acceptable use
Don't use Tallyhook to collect data you don't have the right to collect, attempt to access another workspace's data, abuse the collector token or ingest API beyond normal use, or reverse-engineer the hosted Service. This does not restrict the collector: its source is public under the MIT licence and you may use, modify and redistribute it under that licence.
6. Your data
You own the data your workspace uploads. We process it to provide the Service, as described in the Privacy Policy, and don't claim any ownership over it. You can request deletion of your account and its data at any time.
7. Availability and disclaimers
We aim for the Service to be reliably available but don't guarantee uninterrupted uptime. The Service is provided "as is," without warranties of any kind, express or implied. Cost figures are estimates based on publicly available vendor pricing and may not exactly match your actual vendor bill.
8. Limitation of liability
To the maximum extent permitted by law, Tallyhook is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including decisions made based on cost figures it displays. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose.
9. Termination
You can stop using the Service and delete your workspace at any time. We may suspend or terminate access for a clear violation of these terms, with notice where practical.
10. Changes to these terms
We may update these terms as the product changes. Material changes will be reflected in the date above. Continued use after a change means you accept the updated terms.
11. Governing law
These terms are governed by the laws of the place where Tallyhook's operator is established, without regard to conflict-of-law rules, and disputes go to the courts there. Nothing in these terms limits consumer rights that your local law does not allow to be waived. Email us first: most problems are solved faster that way.
